Terms of Service

These Terms of Service ("Terms") govern your use of Synarch, Inc.'s ("Synarch," "we," "us," "our") web-based Certainty Enforcement OS service and related documentation (the "Service"). By accessing, registering for, or using Synarch, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Synarch is a Certainty Enforcement OS that helps you classify your meetings, emails, and work sessions against your stated goals (Direction, Multiplication, Execution, Recuperation), then acts on that classification: declining meetings, drafting email responses, booking deep work, and providing weekly receipts of your time allocation.

The Service is provided as-is, and features may be added, modified, or removed at any time. We will provide 30 days' notice of any material changes to pricing or core features.

2. Accounts & Eligibility

You must be at least 18 years old and the authorized account holder to use Synarch. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

You agree not to share your account with others or use another person's account without permission. Synarch is designed for individual use; team features are available as a separate tier.

You are responsible for updating your account information and ensuring it is accurate.

3. Subscription & Billing

Plans and Pricing:

  • 14-Day Free Trial: Full access to all features. No credit card required.
  • Solo Monthly: $79 USD per month · 500 AI actions included
  • Solo Annual: $790 USD per year (2 months free) · 500 AI actions included
  • Overage: $0.10 USD per action beyond your plan limit

Billing Cycle: Billing occurs on the first day of your subscription month. Annual plans renew automatically on the anniversary date.

Payment Method: Payment is collected via Stripe. You authorize us to charge your payment method on file automatically each billing cycle. You are responsible for maintaining valid payment information.

Failed Payments: If a payment fails, we will attempt to retry up to 3 times over 10 days. If payment ultimately fails, your account will be downgraded to trial (limited features) until payment is received.

No Refunds: Subscription fees are non-refundable. Unused AI actions do not roll over to the next month.

4. Trial Termination & Cancellation

Your 14-day free trial will automatically upgrade to a paid subscription unless you cancel before the trial ends.

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period. You retain access to Synarch through the end of your paid period.

Upon cancellation, your data is retained for 30 days, then permanently deleted.

5. Acceptable Use

You agree not to use Synarch to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property or privacy rights of others
  • Send unsolicited emails, spam, or phishing messages
  • Reverse-engineer, decompile, or attempt to gain unauthorized access to the Service
  • Use the Service to train, develop, or improve competing products
  • Harm, harass, defame, or threaten any individual or entity
  • Attempt to overwhelm or disable the Service through automated means

Violation of these restrictions may result in immediate account termination and legal action.

6. User Responsibilities

You are responsible for:

  • All data you upload or create within Synarch
  • Reviewing and approving all automated actions (email drafts, meeting declines, bookings) before execution when required by your autonomy settings
  • Keeping your OKRs and goals up to date for accurate classification
  • Maintaining legal compliance when using Synarch (e.g., respecting employment laws, contract obligations)

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. SYNARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • CLASSIFICATIONS WILL BE 100% ACCURATE OR ALIGN WITH YOUR EXACT INTENTIONS
  • AUTOMATED ACTIONS WILL NEVER RESULT IN SUBOPTIMAL OUTCOMES
  • YOUR DATA WILL NOT BE LOST OR CORRUPTED

Synarch starts in shadow mode and earns autonomy through your explicit opt-in. You retain the ability to reject or rollback actions at all times.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNARCH SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION
  • DAMAGES ARISING FROM MISCLASSIFICATION, INCORRECTLY DECLINED MEETINGS, OR FAILED AUTOMATION

SYNARCH'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO SYNARCH IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Synarch from any claims, damages, or costs (including legal fees) arising from:

  • Your violation of these Terms or applicable laws
  • Your misuse of the Service (e.g., using it to send malicious emails)
  • Your content or data (e.g., if an email you ask Synarch to send violates laws)

10. Confidentiality & Privacy

Your use of Synarch and the data you provide are governed by our Privacy Policy. Synarch keeps your data confidential and does not share email content, calendar events, or personal information with other users or third parties without consent, except as required by law.

11. Data Ownership & License

Your Data: You retain all ownership and rights to your data (emails, calendar, OKRs, etc.). You grant Synarch a license to access, process, classify, and act on your data only to provide the Service.

Synarch Intellectual Property: All Synarch technology, algorithms, algorithms, documentation, and branding are owned by Synarch or its licensors. You may not copy, modify, or reverse-engineer these materials.

Feedback: Any feedback, suggestions, or ideas you provide to Synarch may be used freely without compensation or attribution.

12. Termination

By You: You may terminate your account by canceling your subscription from your billing settings. Your access ends at the end of your current billing period.

By Synarch: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use Synarch illegally. We will provide notice when possible.

Upon termination, your data is retained for 30 days, then permanently deleted.

13. Modifications to These Terms

We may update these Terms at any time. Material changes will be posted with 30 days' notice. Your continued use of Synarch after changes take effect constitutes your acceptance of the new Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of [HUMAN: jurisdiction], without regard to its conflict of law principles.

Any disputes shall be resolved in the courts of [HUMAN: jurisdiction], and you consent to the exclusive jurisdiction and venue of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full effect.
